Memorandum of Understanding Among all Parties 
of the "Alliance for Zero Extinction"


PREAMBLE

This Memorandum of Understanding (MOU) is by and among all parties of the "Alliance for Zero Extinction," herein referred to as the "Alliance."

WHEREAS, parties to the Alliance mutually recognize the global importance of conserving biological resources, protecting biological diversity, and preventing species extinctions, including protecting endangered and local species;

WHEREAS, parties to the Alliance believe that many endangered and local species are limited to sites that are currently not being managed or protected adequately;

WHEREAS, parties to the Alliance mutually recognize the need to work collaboratively to prevent species extinctions;

NOW, THEREFORE, parties to the Alliance hereby agree as follows:

GENERAL GOALS OF COLLABORATION

The Alliance is an initiative to prevent any further species extinctions by identifying sites necessary to protect critical populations of site-restricted endangered species, identifying conservation needs at such sites, and developing and funding programs to protect such species and sites. The Alliance is open to any conservation group that subscribes to the principles of collaboration (below) to conserve highly threatened habitats and to protect and restore healthy populations of their endangered species. The initial focus will be on vertebrate species as comprehensive data to cover other life form groups is not yet available.

MEMBERSHIP

Membership in the Alliance is open to any non-governmental environmental organization that has as a primary purpose the conservation of biological diversity. Membership is also open to relevant quasi-governmental IUCN commissions because of their roles as the international authorities on species and site conservation. Such organizations can become parties at any time by signing this MOU and sending it to the Alliance Secretary (see below). Upon receipt of the signed MOU, the Secretary shall notify the other parties to the MOU that a new organization has become a party. The Alliance will also develop an advisory group of experts who will act as consultants on particular sites and species. These individuals will be solicited by the parties to the Alliance and will be credited on the Alliance web site for their input.

OFFICERS AND COMMITTEES

The Alliance shall choose a Secretary and may choose such other officers and establish an executive committee and such other committees which the Alliance believes are necessary to facilitate the business of the Alliance. Such officers shall be chosen and such committees shall be established based upon terms and conditions agreed to by a majority vote of an Alliance meeting attended by at least 50% of the parties to the Alliance.

REPRESENTATION

All parties to the Alliance may represent themselves as parties to the Alliance and as such endorse the list of sites developed by the parties to the Alliance (the "Site List"). Nonetheless, membership does not imply that the Alliance as a whole or that any of the parties to the Alliance must endorse a particular conservation approach or project at any of the listed sites unless such endorsement is provided by the Alliance or a given member.

PRINCIPLES OF COLLABORATION

  1. Development of Site Map and Site List. The Alliance will seek input and data from a broad range of sources in order to develop the Site List, and all parties to the Alliance will collaborate to constantly improve the Site List. Sites will be mapped and the Site Map and Site List will be circulated widely to establish scientific consensus. The goal of the Site List is to produce a list of sites that are currently not being adequately protected or managed, and the protection of which would be sufficient to conserve critical populations of site-restricted endangered and critically endangered species.

  2. Identification of Conservation Needs and Implementing Agencies. Parties to the Alliance will aim individually or collectively to work with local conservation groups to create a conservation plan for a given area. In some cases, local capacity will need to be developed to accomplish this.

  3. Develop and Raise Funds for Conservation Programs. Parties to the Alliance should seek to collaborate in finding financial support for conservation projects at the listed sites, although there is no obligation for parties to the Alliance to make a financial commitment to any individual project or set of projects. Information concerning the Alliance's conservation plans and budgets for individual projects will be made available to all parties to the Alliance including via a web site.

NON-EXCLUSIVITY

This is a non-exclusive agreement among the parties to the Alliance that preserves the right of each to work independently or with other organizations and to raise funds from any source of its choice.

CREDIT

A full list of the parties to the Alliance should appear on any publications resulting from data developed specifically for and as a result of the Alliance, except that any party to the Alliance may choose to keep its name off the list. The Alliance will share credit equally among all participants for any such publication, except that the publication can credit a party which has done extra work relating to the publication. With the approval of each party to the Alliance, and of any local conservation partners, the Alliance's web site shall include the logo of each party to the Alliance and, with regard to specific sites, the logo of any local conservation partner, along with a link to the web sites of members and local conservation partners. Notwithstanding the foregoing, neither the Alliance nor any party to the Alliance shall use the logo or registered trademark of any party to the Alliance without that party's written approval. If a party to the Alliance individually undertakes to protect or manage a site, and if its decision to do the work is based in part on the work of the Alliance, it is urged to state that the site is on the Site List. Where more than one party to the Alliance works on a site on the Site List, they are urged to cooperate in sharing and allocating credit and in stating that the site is on the Site List.

MODIFICATIONS TO THIS MOU

This MOU may be modified at any time through the vote of a two-thirds majority of the parties of the Alliance. This MOU contains the entire agreement of the Parties. Nothing in this MOU shall create a joint venture or any legal relationship among the parties to the Alliance.

TERMINATION OF THIS MOU

Any member of the Alliance may withdraw at any time upon written notice to the Secretary.
